Acknowledgment
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part, you may not access the Service. You represent that you are over 18.
Your use of the Service is also subject to our Privacy Policy.
Nature of Our Services
Directional Health provides marketing, search visibility, and communication infrastructure services to healthcare practices. We are not a healthcare provider through this engagement. Nothing on this website or in our deliverables constitutes medical, clinical, or legal advice. No provider–patient relationship is formed by your use of the Service or by engaging us for marketing services.
John Nolen, PA-C is a licensed Physician Assistant in Georgia. His clinical credentials inform how we design marketing systems for healthcare audiences; they do not extend clinical care to you, your clinic, or your patients through this Service.
Applications and Engagements
Submitting an application does not create a contract. A partnership begins only when both parties sign a separate written services agreement. We reserve the right to decline any application for any lawful reason.
Fees and Payment
Fees, billing cadence, scope, and term are set out in the written services agreement between you and the Company. Unless otherwise stated in that agreement, fees are billed in advance and are non-refundable except where required by law.
Where a workflow requires handling Protected Health Information, a one-time compliance investment applies as described during onboarding and in your services agreement.
Your Information and Materials
You represent that any information, content, or materials you provide are accurate and that you have the right to share them with us. Do not submit Protected Health Information through this website. If our work requires PHI, we will execute a Business Associate Agreement and use compliant infrastructure separate from this site.
Intellectual Property
The Service and its original content, features, and functionality are and remain the exclusive property of the Company and its licensors, protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without prior written consent.
Feedback
You assign all rights, title, and interest in any Feedback you provide. To the extent that assignment is ineffective, you grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and distribute such Feedback without restriction.
Links to Other Websites
Our Service may contain links to third-party websites we do not control. We are not responsible for the content, policies, or practices of any third-party site, and we recommend you review their terms and privacy policies.
Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Termination of a paid engagement is governed by your separate services agreement.
Limitation of Liability
To the maximum extent permitted by applicable law, the Company's entire liability under any provision of these Terms is limited to the amount actually paid by you to the Company in the twelve (12) months preceding the claim, or USD $100 if you have not paid the Company.
In no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever, including loss of profits, loss of data, business interruption, personal injury, or loss of privacy arising out of or related to your use of the Service.
"As Is" and "As Available" Disclaimer
The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that the Service will meet your requirements, be uninterrupted, or be error-free. Marketing results vary; nothing on this site constitutes a guarantee of patient volume, revenue, or search ranking outcomes.
Governing Law
The laws of the State of Georgia, United States, excluding its conflicts of law rules, govern these Terms and your use of the Service.
Disputes Resolution
If you have a dispute about the Service, you agree to first try to resolve it informally by contacting the Company.
Severability and Waiver
If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Failure to enforce a right is not a waiver of that right.
Changes to These Terms
We may modify these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice. Continued use after revisions take effect constitutes acceptance.
